General Terms of Sale
Sale of equipment and provision of the MECAFLOW software, on a quote-request basis.

These General Terms of Sale govern the sale and/or provision of:
Sales model. The Store operates exclusively on a quote-request basis: no online payment and no distance contract with immediate payment. The process is: (1) the Customer submits a quote request; (2) Nexus Studios issues a personalised quote; (3) acceptance of the quote constitutes a firm order; (4) Nexus Studios invoices according to the agreed terms.
In the absence of online payment and a distance contract within the meaning of distance-selling legislation, no e-commerce-style right of withdrawal applies. Cancellation conditions are set out in Article 4.
Prices shown on the Store and on quotes are expressed in Swiss francs (CHF), excluding tax, unless stated otherwise. VAT at the legal rate in force, currently 8.1%, is added and shown separately on the quote and the invoice.
Indicative example (not an offer): KIT Atelier 20: CHF 4,900.00 excl. VAT + 8.1% VAT = CHF 5,296.90 incl. VAT.
Prices are valid subject to obvious typographical errors and may be revised until the final quote is issued. The applicable price is the one in force at the time the quote accepted by the Customer is issued.
Any request submitted through the Store results in a written quote detailing: description and quantity of items/services; unit price excl. VAT and total excl. VAT; applicable VAT and total incl. VAT; estimated delivery times; payment terms.
Quote validity period: 90 days from issuance. After this period, the quote must be resubmitted for confirmation before any order is placed.
The order becomes firm and final upon written acceptance of the quote by the Customer (signature, agreement by e-mail, or any other verifiable means).
Deposit on order: 30% of the total incl. VAT, payable within 15 days of accepting the quote. The order is confirmed only upon receipt of the deposit. Balance due: upon receipt of the final invoice, payable within 30 days.
Any cancellation after acceptance of the quote is subject to a written agreement. Depending on progress made (equipment already ordered, customisation carried out), Nexus Studios reserves the right to invoice costs already incurred and to retain the deposit paid as compensation.
Indicative delivery time: 4 to 6 weeks from order confirmation and, where applicable, receipt of the deposit. This time frame is indicative and does not constitute a firm commitment, unless otherwise agreed in writing.
Delivery may take place by shipment to the address given by the Customer and/or by on-site delivery and installation by Nexus Studios or an appointed provider (travel and installation costs specified in the quote; on-site installation and training are included for the KIT Atelier 20).
Risk transfers upon handover of the equipment to the Customer or its carrier; in the case of on-site installation by Nexus Studios, upon actual receipt by the Customer on site.
The equipment is covered by a warranty against manufacturing defects for a period of 24 months from delivery, within the following limits:
Third-party manufacturer warranty terms (e.g. tablets) may apply in addition and are provided with the equipment, where applicable.
The equipment sold is designed to work in conjunction with the MECAFLOW platform and requires an active subscription (free for schools, subject to conditions for other organisations) for full functionality. The Customer acknowledges that:
Delivered equipment remains the property of Nexus Studios until full payment of the price (principal, costs and taxes included), in accordance with Art. 715 of the Swiss Civil Code. In the event of non-payment, Nexus Studios may repossess the equipment, without prejudice to any claim for damages.
Intellectual property rights in the MECAFLOW software (code, brand, documentation) remain the exclusive property of Nexus Studios or its rights holders; the sale of equipment does not transfer any rights in the software.
Nexus Studios processes personal data provided by the Customer in accordance with the Swiss Federal Act on Data Protection (nFADP) and its ordinance. Data is used exclusively for processing the quote request, the order, delivery, invoicing, commercial follow-up and support. It is not disclosed to third parties, except necessary subcontractors (carrier, installation provider) or as required by law.
The Customer has the right to access, rectify and delete their data, exercised by contacting [email protected].
These General Terms of Sale and any contractual relationship arising from them are governed by Swiss law, excluding conflict-of-law rules and the Vienna Convention (CISG). The exclusive place of jurisdiction is Bienne (BE), subject to mandatory statutory provisions to the contrary.
Should any clause be held invalid or unenforceable, the remaining clauses shall remain in full force and effect. Nexus Studios reserves the right to amend these General Terms of Sale at any time; the applicable version is the one in force at the time the quote is issued.
